- Change The modification comprises a short-term extension to the existing cleaning services contract with Churchill Contract Services Limited. The extension is necessary to ensure continuity of critical cleaning services across the Nexus transport network, including metro stations, bus stations, bus stops, interchanges, ferry terminals, office locations and track litter-picking services, pending completion of procurement activities for replacement services. Following the commencement of a replacement procurement, a legal challenge has arisen which has affected the anticipated implementation timetable for the new contract. As a result, it has become necessary to extend the existing contract for a limited period. The modification does not alter the overall nature, scope or purpose of the contract. No material changes are being made to the services being provided and the extension is limited to the period necessary to maintain service continuity while the procurement challenge is addressed and replacement contractual arrangements are finalised. — Need for modification brought about by circumstances which a diligent contracting authority/entity could not foresee: A non-substantial modification of the existing contract under Regulation 88(1) c of the Utilities Regulations 2016 to Churchill Contract Services Limited due to both of the following conditions being met: a. The need for modification has been brought about by circumstances which a diligent utility could not have foreseen The previous incumbent cleaning services contract is being extended for a limited period to ensure continuity of essential operational cleaning services across the Nexus transport network. Following the commencement of a new procurement process for replacement services, a legal challenge has arisen in relation to that procurement. As a consequence, the replacement contract cannot be implemented within the originally anticipated timescales. Nexus could not reasonably have foreseen the timing and impact of the challenge at the point at which the replacement procurement was planned and undertaken. The modification is necessary to maintain uninterrupted service delivery while the challenge is resolved and/or the procurement is concluded. The modification does not alter the overall nature of the contract. No material changes are being made to the scope of services, and the extension is limited to the period necessary to maintain continuity pending completion of the procurement process.
