Why no open competition

The procurement falls outside the scope of application of the directive

Published justification

This is not an award of a new contract, the purpose of this VEAT is to notify the market that we intend to modify this existing contract.

Proposed modification is to extend by 2 years to 7 November 2028 and increase value by £229,127.50 (50% of advertised value).

Regulation 72(1)(b) would appear to be the most applicable ground.

This Regulation states:

“b)for additional works, services or supplies by the original contractor that have become necessary and were not included in the initial procurement, where a change of contractor—

(i)cannot be made for economic or technical reasons such as requirements of interchangeability or interoperability with existing equipment, services or installations procured under the initial procurement, and

(ii)would cause significant inconvenience or substantial duplication of costs for the contracting authority,

provided that any increase in price does not exceed 50% of the value of the original contract”

This proposed contract modification would appear to meet the conditions of Reg 72(1)(b)(i) and (ii) as follows:

b) EA requires additional services to be supplied by the original LMS contractor for a 2 year period until a replacement solution can be sourced. EA requires the continued delivery of the current LMS solution to support Corporate Users. The LMS contract term is intended to be extended until 7th November 2028 to ensure continuity of service pending a replacement contract. This replacement solution will either be provided for by a new Teacher Professional Learning (TPL) Solution through an integrated solution, the procurement of which is underway (link to the published Tender Notice for TPL via Find a Tender Service - www.find-tender.service.gov.uk/Notice/070391-2026 ↗ ), or if this cannot be facilitated, through a new procurement competition for a replacement LMS contract expected by 8th November 2028.

(i) Continuity of service provision is vital to EA. The current LMS solution is integral to the continued delivery of EA’s existing HR, and Learning and Development services. For interoperability reasons connected with the delivery of these existing services the LMS solution must continue to be used until a replacement is sourced. And,

(ii) Until it is clear if the LMS solution and Corporate users requirements can be fulfilled under any new TPL contract then EA must continue to utilise the current LMS solution. To procure a separate solution at this stage would cause significant inconvenience to EA due to the potential for a significant transition period to implement any such replacement as well as the potential for duplication of costs connected with the resources required to procure and manage the implementation of a replacement solution for LMS.

The value of the proposed 2 year contract modification (£229,127.00) is less than 50% of the original contract value. This value includes contingency that may be required to exit and transition from LMS to any new replacement solution.
