What is being bought

The object of this Framework is to ensure the gas installations at each of the customer's premises are safe and conform with the current 'Gas Safety (Installation and Use) Regulations. The gas supply installation at each property, including the ventilation requirements, shall be inspected and tested for compliance with the current British Standards or equivalent and any relevant Codes of Practice and a written report produced to detail these findings. All properties are intended to be tested and inspected at 5-year intervals. This framework is to enable the servicing of Staffordshire County Council's Corporate properties and LEA Maintained Schools. Additionally, the Managing Agent may use the framework for some or all its customers' 200+ Academy, Fire Service and other properties. There are currently approximately 387 properties listed on the contract schedule that are expected to be transferred to this framework. Most are in Staffordshire, with a small number located in Cheshire, Lancashire, Derbyshire and the West Midlands. The properties include all types of buildings operated by a Local Authority including educational, residential care homes, civic buildings, offices, fire stations, enterprise centres and small industrial units.

Risk detailsLocal Government Re-organisation 1) On 16 July 2026, the Secretary of State confirmed the reorganisation of local government in Staffordshire and Stoke-on-Trent into two new unitary authorities comprising: (i) a North Staffordshire Unitary Authority covering Newcastle-under-Lyme, Stoke-on-Trent and Staffordshire Moorlands; and (ii) a South Staffordshire Unitary Authority covering Stafford, East Staffordshire, Cannock Chase, Lichfield, Tamworth and South Staffordshire; 2) the existing county, city, district and borough councils within Staffordshire and Stoke-on-Trent are expected to be abolished and replaced by the new unitary authorities with effect from the relevant vesting date established by law, currently anticipated to be April 2028; 3) secondary legislation and transitional arrangements will be implemented by Government to give effect to the reorganisation; and 4) this Agreement may require transfer, assignment, novation or variation to give effect to the local government reorganisation and any statutory requirements arising from it. Transfer, Assignment or Novation The Provider consents to the transfer, assignment, novation or vesting of this Agreement (in whole or in part), whether by operation of law or otherwise, to any successor authority, shadow authority or replacement authority established as part of the local government reorganisation. Such transfer, assignment, novation or vesting shall not constitute a breach of this Agreement and shall not entitle the Provider to any compensation, adjustment, loss of profit, loss of opportunity or other financial remedy. Continuity of Services The Provider shall ensure uninterrupted performance of the Services throughout the implementation of the local government reorganisation and shall cooperate with the Council, any shadow authority and any successor authority to ensure a smooth transition of service delivery. TUPE Where applicable, the Parties acknowledge that the Transfer of Undertakings (Protection of Employment) Regulations 2006 (TUPE) may apply as a consequence of the local government reorganisation and shall comply with their respective obligations under TUPE. Co-operation and Transition The Provider shall co-operate fully with the Council, any shadow authority and any successor authority in connection with the implementation of the local government reorganisation, including: - providing information reasonably requested - attending transition and mobilisation meetings - executing all documents reasonably required to effect any transfer, assignment, novation or statutory vesting of this Agreement; and - supporting any service transition activities at no additional cost to the Council unless expressly agreed otherwise in writing. A Information Sharing The Provider shall provide to the Council, any shadow authority and/or any successor authority such information, records and documentation relating to this Agreement and the Services as may be reasonably requested for the purposes of planning, implementing or operating local government reorganisation, including information required for service continuity, contract management, financial planning, audit, governance, statutory compliance and transition arrangements. The Parties shall ensure that any disclosure of information under this clause is carried out in compliance with Applicable Law, including Data Protection Legislation and obligations of confidentiality under this Agreement. Any information shared pursuant to this clause shall be used solely for purposes connected with the local government reorganisation and the management, transfer or continuation of the Services. Variations The Parties may agree such amendments to this Agreement as are reasonably necessary to: a) reflect the identity of a successor authority; b) implement statutory requirements arising from the local government reorganisation; or c) facilitate the continued delivery of the Services following the local government reorganisation. No such amendment shall, of itself, entitle the Provider to any additional payment or compensation unless expressly agreed by the Parties in writing. Termination following Local Government Reorganisation a) The Council or any successor authority may terminate this Agreement in whole or in part in accordance with Clause 25 (Break Clause) where local government reorganisation results in a material change to service delivery requirements, funding arrangements or operational requirements. b) The Provider shall not be entitled to compensation, loss of profit or additional payment arising from termination under this clause, save for undisputed charges properly due for Services delivered up to the effective date of termination.

    "riskDetails": "Local Government Re-organisation\n1) On 16 July 2026, the Secretary of State confirmed the reorganisation of local government in Staffordshire and Stoke-on-Trent into two new unitary authorities comprising: \n(i) a North Staffordshire Unitary Authority covering Newcastle-under-Lyme, Stoke-on-Trent and Staffordshire Moorlands; and \n(ii) a South Staffordshire Unitary Authority covering Stafford, East Staffordshire, Cannock Chase, Lichfield, Tamworth and South Staffordshire; \n2) the existing county, city, district and borough councils within Staffordshire and Stoke-on-Trent are expected to be abolished and replaced by the new unitary authorities with effect from the relevant vesting date established by law, currently anticipated to be April 2028; \n3) secondary legislation and transitional arrangements will be implemented by Government to give effect to the reorganisation; and \n4) this Agreement may require transfer, assignment, novation or variation to give effect to the local government reorganisation and any statutory requirements arising from it. \nTransfer, Assignment or Novation \nThe Provider consents to the transfer, assignment, novation or vesting of this Agreement (in whole or in part), whether by operation of law or otherwise, to any successor authority, shadow authority or replacement authority established as part of the local government reorganisation. Such transfer, assignment, novation or vesting shall not constitute a breach of this Agreement and shall not entitle the Provider to any compensation, adjustment, loss of profit, loss of opportunity or other financial remedy. \nContinuity of Services \nThe Provider shall ensure uninterrupted performance of the Services throughout the implementation of the local government reorganisation and shall cooperate with the Council, any shadow authority and any successor authority to ensure a smooth transition of service delivery. \nTUPE \nWhere applicable, the Parties acknowledge that the Transfer of Undertakings (Protection of Employment) Regulations 2006 (TUPE) may apply as a consequence of the local government reorganisation and shall comply with their respective obligations under TUPE. \nCo-operation and Transition \nThe Provider shall co-operate fully with the Council, any shadow authority and any successor authority in connection with the implementation of the local government reorganisation, including: \n- providing information reasonably requested \n- attending transition and mobilisation meetings \n- executing all documents reasonably required to effect any transfer, assignment, novation or statutory vesting of this Agreement; and \n- supporting any service transition activities \nat no additional cost to the Council unless expressly agreed otherwise in writing. \nA Information Sharing \nThe Provider shall provide to the Council, any shadow authority and/or any successor authority such information, records and documentation relating to this Agreement and the Services as may be reasonably requested for the purposes of planning, implementing or operating local government reorganisation, including information required for service continuity, contract management, financial planning, audit, governance, statutory compliance and transition arrangements. \nThe Parties shall ensure that any disclosure of information under this clause is carried out in compliance with Applicable Law, including Data Protection Legislation and obligations of confidentiality under this Agreement.  \nAny information shared pursuant to this clause shall be used solely for purposes connected with the local government reorganisation and the management, transfer or continuation of the Services. \nVariations \nThe Parties may agree such amendments to this Agreement as are reasonably necessary to: \na) reflect the identity of a successor authority; \nb) implement statutory requirements arising from the local government reorganisation; or \nc) facilitate the continued delivery of the Services following the local government reorganisation. \nNo such amendment shall, of itself, entitle the Provider to any additional payment or compensation unless expressly agreed by the Parties in writing. \nTermination following Local Government Reorganisation \na) The Council or any successor authority may terminate this Agreement in whole or in part in accordance with Clause 25 (Break Clause) where local government reorganisation results in a material change to service delivery requirements, funding arrangements or operational requirements. \nb) The Provider shall not be entitled to compensation, loss of profit or additional payment arising from termination under this clause, save for undisputed charges properly due for Services delivered up to the effective date of termination.",

    "riskDetails": "Local Government Re-organisation\n1.1 In December 2024 the Government issued a White Paper on Local Government Re-Organisation entitled the \"English Devolution White Paper\".\n1.2 In March 2025 Staffordshire County Council submitted their suggested re-organisation plan to the Government and are awaiting a response.\n1.3 Final proposals will be submitted in November 2025 and implementation of the changes is expected by Government to be by 2028 at the earliest.\n1.4 Whilst the expected impact of most changes to Local Government will be settled at Government Level (Change in Law) please be aware that it may be government policy or expedient that any affected party will be recommended to agree bi-lateral or multi-lateral changes to their existing contractual arrangements.\n1.5 Updates on proposals and changes can be found on the Staffordshire County Council Website and at other media outlets\n2 The parties agree that in the event of a Local Government Re-organisation:-\n2.1 that reorganisation of local authorities may result in the transfer assignment or novation of this Agreement in whole or in part to a successor authority or successor authorities. Such transfer assignment or novation shall not constitute a breach or require consent and the [contracting party] consents to the transfer assignment or novation of this Agreement in whole or in parts to any successor authority(ies) established under the local government reorganisation legislation and that as a consequence the obligations and rights under this Agreement shall continue to apply and be enforceable by or against any successor authority(ies) following a local government reorganisation; and\n2.2 the parties acknowledge that if applicable the Transfer of Undertakings (Protection of Employment) Regulations 2006 may apply and agree to comply with all consequential and reasonable obligations arising thereunder\n2.3 the parties acknowledge that any new organisation(s) may utilise or create and manage all and any existing or required framework agreements relating to the provision of the [goods and] services provided under this current agreement.",
